1.1

"Ebitok Affiliate Program", "Affiliate Program", and "Program" refer to the affiliate program provided by Ebitok on the Website.

1.2

"Affiliate", "you", "your" refer to the individual or legal entity participating in the Program offered on the Site in accordance with this Program.

1.3

"Affiliate Account" and "Account" mean the account opened in the name of the Partner at Ebitok.

1.4

"Partner's Website" means the Partner's website where Ebitok Services and/or Tools and/or promotions are presented.

1.5

"Services" refer to the services of Ebitok offered on the Website for exchanging or purchasing crypto assets, which will be advertised and promoted by the Partner in accordance with the Program and materials provided by us to the Partner.

1.6

"Tools" mean the exchange widget, exchange button, and referral link offered by Ebitok, which can be integrated into the Partner's website and allow Referrals to use the Services.

1.7

"Commission" means the commission paid by Ebitok to the Partner based on Transactions made by the Referral.

1.8

"Transaction" means a completed purchase of Services by a Referral directed to Ebitok through the Tools.

1.9

"Referral" means each new customer attracted by the Partner to purchase Ebitok Services. A Referral violating the Terms of Use of the service excludes the right of the Partner to receive Commission from Transactions of that Referral.

2.1

To register in the Program, the Partner must register an Ebitok account on the Site and select the Tools, the setup of which on the Site or the Partner's resource will allow directing their Referrals to the Services.

2.2

By participating in the Program, you (the Partner) represent and warrant that:

2.2.1

You have read and understood all the provisions of this Program;

2.2.2

The use of the Website and participation in the Program under the Program does not and will not contradict any laws, regulations, rules, licenses, permits applicable to the Affiliate;

2.2.3

The use of the Website and participation in the Program does not and will not constitute any violation and/or non-fulfillment of any agreement or other documents to which you are a party or which apply to the Affiliate.

2.3

The rights granted by Ebitok to the Partner under this Agreement are in no way exclusive, and nothing in this document limits or prevents Ebitok from entering into other partnership agreements with other third parties and/or granting rights to any other third party. Nothing in this document prevents Ebitok from promoting and/or selling its Services.

2.4

Ebitok reserves the right to suspend the Partner's account if the Partner attempts to manipulate Ebitok and/or abuse the Ebitok Affiliate Program. Without limiting the foregoing, Ebitok reserves the right to withhold, offset, and/or deduct any commission due to the Affiliate under this Agreement in the event of such manipulation and/or abuse, and may immediately terminate this Program and account.

3.1

You acknowledge and agree that you will NOT:

3.1.1

Use referral links for self-exchange of crypto assets;

3.1.2

Make any promises, statements, guarantees, and financial advice to Referrals on behalf of Ebitok;

3.1.3

Make any false claims and statements regarding Ebitok and the Services;

3.1.4

Engage in illegal activities and services, including but not limited to human trafficking, child pornography, violence, financial crimes, smuggling (including drugs, weapons, etc.), cybercrime; and corruption;

3.1.5

Register a domain name, including for phishing purposes, using Ebitok's intellectual property (including but not limited to the trademark) and/or copies of Ebitok Website materials.

5.1

Ebitok and the Affiliate are independent contractors, and nothing contained in this policy can be construed as creating an employment, partnership, or joint venture relationship between the Parties. The Affiliate has no authority to assume any obligations or agreements on behalf of Ebitok, whether orally or in writing, and does not claim to have such authority.

6.1

UNDER NO CIRCUMSTANCES SHALL EBITOK BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOSSES RESULTING FROM BUSINESS INTERRUPTION, EVEN IF THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH LOSS.

6.2

THE PARTIES SHALL NOT BE LIABLE FOR ANY DELAYS, LOSSES, OR DAMAGES RELATED TO ANY SERVICE, PRODUCT, OR ACTIONS OF THIRD PARTIES. UNDER NO CIRCUMSTANCES. THE AGGREGATE LIABILITY OF THE PARTIES AND AFFILIATES FOR ANY CLAIMS OR LOSSES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY SERVICES (WHETHER IN CONTRACT, NEGLIGENCE, TORT, OR OTHERWISE) SHALL NOT EXCEED THE AGGREGATE AMOUNT OF COMMISSIONS PAID UNDER THIS AGREEMENT DURING SIX MONTHS.

6.3

Ebitok cannot guarantee that the operation of Ebitok Services, links to the Website, or interface will be uninterrupted. Ebitok is not responsible for any errors in the use of links or Tools on the Partner's website, as well as for any malfunction of links or Tools.

7.1

This Program remains in effect as long as you continue to participate in the Program or maintain the Tools leading to the Services on your Partner's website ("Term"). The Affiliate or Ebitok may terminate the Program at any time, for any reason or no reason, by notifying the other party of such termination. No commissions will be accrued after the termination date of the Agreement.

7.2

The Affiliate is entitled to receive Commissions only for completed Transactions made during the Term and subject to the Terms of Use. Commissions are paid only if the relevant Transactions are not canceled or refunded. Ebitok may delay the final payment to the Partner for a reasonable period to ensure the correct amount is paid and to confirm that all relevant transactions are completed.

7.3

You acknowledge and agree that Ebitok may terminate the provision of Services if you, your website, or publication location violate, at Ebitok's discretion, any of the above restrictions or violate this Program. Upon termination, your rights set forth in this Program will be immediately terminated. Ebitok reserves the right to demand reimbursement of any or all commissions in the amount of losses incurred by Ebitok.

7.4

We reserve the right to remove "Abandoned Partner Accounts" from our system. In this case, all accumulated commissions will be canceled. An "Abandoned Partner Account" means any partner account that has not been logged into for three (3) years and/or more.
