Affiliate program

This Affiliate Program ("Program") is an agreement between Ebitok.com ("Website", "Ebitok", "we", "us" and "our") and the Partner. By participating in the Ebitok Affiliate Program ("Ebitok Affiliate Program", "Affiliate Program", "Program") and subsequently earning as an Affiliate, you ("Partner", "Affiliate", "you") acknowledge and confirm your commitment to adhere to this Program and its terms and/or any amendments thereto. We reserve the right to update and modify the Program without prior notice.

You acknowledge and agree that it is your responsibility to review the updated Program on the Website and any possible changes. Your continued participation in the Program after such changes signifies your acceptance of the changes to the Program.

• Definitions
1. "Ebitok Affiliate Program", "Affiliate Program", and "Program" refer to the affiliate program provided by Ebitok on the Website.
2. "Partner", "Affiliate" "you" refer to the individual or legal entity participating in the Program offered on the Website under this Program.
3. "Affiliate Account" and "Account" means an account opened in the name of the Affiliate with Ebitok.
4. "Affiliate Website" means the Affiliate website where Ebitok Services and/or Tools and/or promotional activities are represented.
5. "Services" refer to Ebitok services offered on the Website for the exchange or purchase of cryptocurrencies, which will be advertised and promoted by the Affiliate in accordance with the Program and materials provided by us to the Affiliate.
6. "Tools" mean exchange widget, exchange button, and referral link offered by Ebitok that can be integrated into the Affiliate website to allow Referrals to use the Services.
7. "Commission" means the commission paid by Ebitok to the Affiliate based on Transactions made by Referrals.
8. "Transaction" means a completed purchase of Ebitok Services by a Referral directed to Ebitok through the Tools.
9. "Referral" means each new customer attracted by the Affiliate to purchase Ebitok Services. A Referral violating the Terms of Service is not eligible for the Affiliate to earn Commission from that Referral Transactions.
• Participation
1. To register for the Program, the Partner must create an Ebitok account on the Website and select Tools, the setup of which on the Website or the Partner resource will enable them to direct their Referrals to the Services.
2. By participating in the Program, you (the Partner) declare and guarantee that:
   1. You have read and understood all the provisions of this Program;
   2. Your use of the Website and participation in the Program under this Program do not and will not violate any laws, regulations, rules, licenses, permissions applicable to the Affiliate;
   3. Your use of the Website and participation in the Program do not constitute and will not constitute a breach and/or non-performance of any agreement or other documents of which you are a party or the actions of which apply to the Affiliate.
3. The rights granted by Ebitok to the Partner under this Agreement are in no way exclusive, and nothing in this document restricts or prevents Ebitok from entering into other partnership agreements with other third parties and/or granting rights to any other third party. Nothing in this document prevents Ebitok from promoting and/or selling its Services.
4. Ebitok reserves the right to suspend the Partner account if the Partner attempts to manipulate Ebitok and/or abuse the Ebitok Affiliate Program. Without limiting the foregoing, Ebitok reserves the right to withhold, offset, and/or deduct any commission due to the Affiliate under this Agreement in case of such manipulation and/or abuse and may immediately terminate this Program and the account.
• Affiliate Restrictions
1. You acknowledge and agree NOT to:
   1. Use referral links for self-exchanging cryptocurrencies;
   2. Make any promises, statements, warranties, and financial advice to Referrals on behalf of Ebitok;
   3. Make any false claims and statements regarding Ebitok and the Services;
   4. Engage in illegal activities and services, including but not limited to human trafficking, child pornography, violence, financial crimes, smuggling (including drugs, weapons, etc.), cybercrime, and corruption;
   5. Register a domain name, including for phishing purposes, using Ebitok intellectual property (including, but not limited to, trademarks) and/or copies of materials from the Ebitok Website.
• Commission
1. The Partner is entitled to a variable commission, including up to 50% of Ebitok revenue from all relevant cryptocurrency transactions. The commission table can be found in the partner personal account. We are willing to discuss and offer individual terms to Partners; please contact us via the chat on the Website or at [email protected]
2. To withdraw funds, the Partner must submit a withdrawal request in their partner personal account, which must be reviewed and approved by Ebitok. Withdrawals are only supported in USDT on the TRC20, ERC20, POLYGON and TON networks. The minimum commission amount eligible for payout is 1 USDT.

• Affiliation
1. Ebitok and the Affiliate are independent contractors, and nothing contained in this policy can be construed as creating an employment, partnership, or joint venture relationship between the Parties. The Affiliate has no authority to bind Ebitok in any obligation or agreement, whether in oral or written form, and does not claim to have such authority.
• Limitation of Liability
1. UNDER NO CIRCUMSTANCES SHALL EBITOK BE LIABLE FOR SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS OR DAMAGES RESULTING FROM BUSINESS INTERRUPTION, EVEN IF THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR THE LIKELIHOOD OF SUCH DAMAGES.
2. THE PARTIES SHALL NOT BE LIABLE FOR ANY DELAYS, LOSSES, OR DAMAGES ARISING OUT OF ANY THIRD-PARTY SERVICES, PRODUCTS, OR ACTIONS, UNDER ANY CIRCUMSTANCES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PARTIES AND AFFILIATES FOR ANY CLAIMS OR DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY SERVICES (WHETHER IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY) EXCEED THE TOTAL AMOUNT OF COMMISSIONS PAID UNDER THIS AGREEMENT DURING THE SIX-MONTH PERIOD PRECEDING THE CLAIM.
3. Ebitok cannot guarantee that the operation of the Ebitok Services, links to the Website, or interface will be uninterrupted. Ebitok is not responsible for any errors in the use of links or Tools on the Partner website, as well as any malfunction of links or Tools.
• Term and Termination
1. This Program remains in effect for as long as you continue to participate in the Program or maintain Tools leading to the Services on your Partner website ("Term"). Either the Affiliate or Ebitok may terminate the Program at any time, with or without cause, by notifying the other party of such termination. No commissions will be accrued after the date of termination.
2. The Affiliate has the right to receive Commissions only for completed Transactions made during the Term and in accordance with the Terms of Use. Commissions are paid only if the respective Transactions are not canceled or refunded. Ebitok may withhold the final payment to the Partner for a reasonable period to ensure the correct amount is paid and to confirm that all relevant transactions have been completed.
3. You acknowledge and agree that Ebitok may cease providing Services if you, your website, or place of publication violate, at Ebitok discretion, any of the aforementioned restrictions or this Program. Upon termination, your rights under this Program will be immediately terminated. Ebitok reserves the right to seek compensation for any or all of the commissions in the event of losses incurred by Ebitok.
4. We reserve the right to delete "Abandoned Partner accounts" from our system. In this case, all accumulated commissions will be canceled. "Abandoned Partner account" means any Partner account that has not logged in for three (3) years or more.
